EdExec LIVE events 2025
1. Application
1.1 In the event of a conflict between these Terms and Conditions and any other terms (including those of the Delegate), these Terms shall prevail unless expressly agreed otherwise in writing by the Company.
1.2 By booking a delegate ticket for our event, you confirm your acceptance of these Terms and Conditions.
2. Definitions and Interpretation
2.1 In these Terms and Conditions, the following definitions apply:

“Business Day” means any day (excluding Saturday and Sunday) on which banks are open in London for normal business.

“Company” means Intelligent Media Solutions Ltd, owners of EdExec LIVE events, registered in England and Wales (No. 04903836), with registered office at 26 Poole Road, London E9 7AE.

“Event” means any event organised and promoted by the Company.

“Delegate” means any individual, school, educational institution, or business (including successors and assigns) who registers or books to attend an Event.
2.2 In these Terms:

References to “writing” include email or similar electronic communications.

A reference to a statute or regulation includes any amendment or re-enactment.

Headings are for convenience only and do not affect interpretation.

Words in the singular include the plural and vice versa; references to any gender include all genders.

3. Price
3.1 All ticket prices are exclusive of VAT unless otherwise stated. VAT will be added at the applicable rate where required.
3.2 The Company reserves the right to correct any pricing errors and to vary prices as necessary due to changes in cost or tax rates.
3.3 The Event constitutes a leisure activity scheduled on a specific date and is therefore exempt from the 14-day cancellation right under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
4. Ticket Categories, Cancellations and Fees
4.1 Full-Price Tickets

May be cancelled for a full refund if written notice is received at least 31 days prior to the Event.

Cancellations must be sent by email to: hello@edexeclive.co.uk.
4.2 Discounted or Free Tickets
-
Subject to cancellation fees due to limited availability and administrative costs.

If cancelled 30 days or more before the Event, a refund will be processed via the booking platform (currently Eventbrite), unless paid by invoice — in which case no refunds are available.

If cancelled 15–30 days before the Event, no additional charge will apply, but no refund will be issued.

If cancelled within 14 days of the Event, a £50 late cancellation fee applies.

If the Delegate fails to attend without cancelling in writing, a £75 no-show fee will be charged.
4.3 Payment Terms

Late cancellation and no-show fees will be invoiced after the Event and are payable within 14 days.

Interest may be charged on overdue amounts at 5% per annum above the Bank of England base rate until payment is made in full.
5. Changes and Variations
5.1 Delegates may request to vary their booking by contacting the Company in writing. Any additional costs incurred will be invoiced accordingly.
5.2 The Company reserves the right to make reasonable changes to the Event due to circumstances beyond its control, including:

Correction of pricing or administrative errors

Necessary changes due to force majeure events

Updates to the Event schedule
6. Liability and Indemnity
6.1 If the Event is cancelled due to reasons within the Company’s control, the Delegate will receive a full refund of any paid fees.
6.2 Except for liability for death or personal injury caused by the Company’s negligence, the Company is not liable for:

Loss of profits
-
Indirect or consequential losses
-
Costs, expenses, or claims arising from the Event or these Terms
6.3 Delegates shall be liable for damage caused to property or equipment by themselves or their representatives and shall indemnify the Company for resulting costs.
7. Termination and Cancellation
7.1 A Delegate may cancel attendance at any time by written notice, subject to the conditions in Clause 4.
7.2 The Company may terminate a Delegate’s booking if:

Payment is not received on time

The Delegate breaches these Terms

The Event is cancelled or postponed for reasons beyond the Company’s control
8. Effects of Termination
Upon termination:

Any unpaid amounts become immediately due

Clauses intended to survive termination (e.g., liability, data use) remain in force

Termination does not affect accrued rights or remedies
9. No Waiver
No failure or delay by either party in enforcing rights under this Agreement shall be deemed a waiver of those rights.
10. Further Assurance
Each party agrees to execute and deliver any further documents needed to give effect to these Terms.
11. Costs
Each party shall bear its own costs in relation to the negotiation and execution of this Agreement.
12. Assignment and Subcontracting
The Company may subcontract or delegate its obligations to suitable third parties or group companies.
13. Time
All time limits specified in these Terms are of the essence.
14. Data Protection
14.1 Delegate data is processed in accordance with UK GDPR.
14.2 The Company has a legitimate interest in processing and storing Delegate data for event management, communication, and marketing purposes.

15. Notices
15.1 Notices must be in writing and addressed to the most recent contact details provided.
15.2 A notice is deemed received:

When delivered by courier during business hours
-
When sent by email with confirmation of receipt
-
Within 5 business days if sent by post in the UK
16. Severance
If any clause of these Terms is found to be unlawful or unenforceable, it shall be severed, and the rest shall remain in force.
17. Dispute Resolution
The parties will attempt to resolve disputes amicably. If not resolved, disputes shall be subject to the jurisdiction in Clause 18.
18. Governing Law and Jurisdiction
18.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales.
18.2 The courts of England and Wales shall have exclusive jurisdiction over disputes arising in connection with these Terms.
